Seamless.AI Public API Terms of Use

These Public API Terms of Use (the “Agreement”) constitute a legally binding agreement between you (“Developer,” “you,” or “your”) and Seamless Contacts Inc. d/b/a Seamless.AI (“Seamless.AI,” “we,” “us,” or “our”), governing your access to and use of Seamless.AI’s public Application Programming Interface (“API”).

1. Acceptance of Terms

By accessing or using the Seamless.AI API, you agree to these Terms; the Seamless.AI Privacy Policy, the Seamless.AI Terms of Use; and/or your existing Agreement with Seamless.AI. You also (i) Represent and warrant that you have the authority to enter into this Agreement on behalf of yourself or your organization; and (ii) Agree to comply with all applicable laws and regulations in your use of the API. If you do not agree, do not use the API. We may modify these Terms, with changes effective upon posting with or without notice to you. Continued use of the API after updates to these Terms signifies acceptance. You are responsible for reviewing updates and maintaining compatibility.

2. API Access and License

Subject to compliance with this Agreement, Seamless.AI grants you a non-exclusive, non-transferable, non-sublicensable, revocable-at-any-time license to access and use the API solely for the purpose of developing, testing, and operating applications (“Developer Applications”) that interact with Seamless.AI’s platform.

You may not: (i) Use the API in any manner beyond the scope of this Agreement; (ii) Create an API client that functions as a substitute for Seamless.AI’s core platform or competes with our services; (iii) Use the API to harvest, aggregate, or cache data not expressly authorized by Seamless.AI.

3. Registration and API Keys

To access the API, you must: (i) Register for the Seamless.AI platform; (ii) Provide accurate and complete information; and (iii) Maintain the confidentiality of your API Key and account credentials. You are solely responsible for all activity conducted under your API Key. You must notify Seamless.AI immediately if you believe your API Key has been compromised.

4. Use Restrictions

You shall not: (i) Reverse engineer, decompile, or disassemble the API; (ii) Circumvent authentication or authorization mechanisms; (iii) Use the API in a way that could damage, disable, or impair any Seamless.AI service or system; (iv) Interfere with other users or their access to the API; (v) Use the API to collect sensitive personal information (e.g., SSNs, payment data); (vi) Send spam or unsolicited communications using API-derived data; or (vii) Exceed daily rate limits or create bulk scraping tools.

5. Data Usage and Retention

You may not: (i) Store Seamless.AI data longer than necessary to fulfill a legitimate business purpose; (ii) Share, sell, or resell any Seamless.AI data to third parties; and/or (iii) Use API data for user profiling, segmentation, or advertising without applicable consent.

‍6. Data Protection & Compliance

You agree to:

  1. Comply at all times with all applicable local, state, national, and international data protection and privacy laws and regulations, including without limitation the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and any other laws governing the collection, use, retention, disclosure, and security of personal data or personal information;
  2. Comply with any industry-specific regulations that apply to Your use of the API or Data, including but not limited to HIPAA, FINRA, GLBA, or FERPA, where applicable;
  3. Maintain a clear and conspicuous publicly accessible privacy policy that fully and accurately discloses Your data collection, use, and sharing practices with respect to any Data obtained via the API;
  4. Obtain and maintain all necessary consents, permissions, or authorizations from individuals or entities before collecting, sharing, or processing any personal data through the API or Data;
  5. Immediately notify Seamless.AI in writing of any actual or suspected unauthorized access, use, disclosure, breach, or loss of Data (a "Security Incident") and provide Seamless.AI with reasonably requested information regarding the Security Incident;
  6. Cooperate fully with Seamless.AI in investigating and remedying any Security Incident, including by providing timely updates, forensic reports, and any required regulatory notifications if requested;
  7. Implement and maintain administrative, physical, and technical safeguards that are no less rigorous than accepted industry standards to protect the Data against unauthorized access, disclosure, alteration, and destruction.

Failure to comply with this Section constitutes a material breach of this Agreement.

7. Rate Limits 

Seamless.AI may impose rate limits on API usage. You agree not to exceed these thresholds and/or use multiple API Keys or proxies to circumvent limits. Abuse of the API or excessive usage may result in temporary throttling, suspension, or permanent termination of your access, as determined solely by Seamless.AI.

8. Fees and Paid Tiers

Some API access levels may require a paid subscription or involve usage-based billing. Pricing, billing, and overage details will be outlined in your Seamless.AI account. Failure to pay any applicable fees may result in suspension or termination of access.

9. Data Collection, Monitoring, and Enforcement

You consent to the collection and use of usage data and diagnostic information for testing, improvement, analytics, and our business purposes. Seamless.AI may monitor API usage to ensure quality; improve services; verify compliance with these Terms; or our business purposes. You agree not to block or interfere with this monitoring. Seamless.AI reserves the right to audit your use of the API and your license at any time with or without notice to you.

10. Modification and Deprecation

We may modify the API or release new versions at any time; deprecate older versions of the API with or without prior notice to you.

11. Termination

Seamless.AI may suspend or terminate your access to the API at any time if: (i) You breach these Terms; (ii) Your use poses a security, legal, or reputational risk at the sole determination of Seamless.AI; and/or (iii) Seamless.AI discontinues the API or relevant services. Upon termination, you must (i) Cease all use of the API; (ii) Delete all Seamless.AI data in your possession, and (iii) Certify such deletion upon request. Seamless.AI reserves the right to audit compliance with this section. 

12. Intellectual Property

All rights not expressly granted are reserved by Seamless.AI. You acknowledge: Seamless.AI retains all rights, title, and interest in the API, data, and platform; and any feedback you submit may be used by Seamless.AI without obligation. Developer Applications must not misrepresent their relationship to Seamless.AI.

13. Warranties and Disclaimers

THE API, DOCUMENTATION, DATA, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." SEAMLESS.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, SYSTEM INTEGRATION, QUIET ENJOYMENT, AND ERROR-FREE OR UNINTERRUPTED OPERATION. WITHOUT LIMITING THE FOREGOING, SEAMLESS.AI MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE API OR DATA WILL BE TIMELY, SECURE, ERROR-FREE, OR AVAILABLE AT ALL TIMES OR LOCATIONS; THE RESULTS OBTAINED FROM USE OF THE API OR DATA WILL BE ACCURATE, COMPLETE, RELIABLE, OR OTHERWISE MEET DEVELOPER’S REQUIREMENTS OR EXPECTATIONS; ANY ERRORS OR DEFECTS IN THE API OR DATA WILL BE CORRECTED; THIRD-PARTY CONTENT OR INTEGRATIONS MADE AVAILABLE THROUGH THE API WILL BE SAFE OR FUNCTIONAL; OR ACCESS TO THE API WILL BE FREE FROM VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS.

‍ANY RELIANCE ON THE API OR DATA IS AT DEVELOPER’S OWN RISK. SEAMLESS.AI SHALL NOT BE RESPONSIBLE FOR ANY DECISIONS MADE, DAMAGES INCURRED, OR BUSINESS INTERRUPTIONS RESULTING FROM USE OF OR RELIANCE ON THE API OR THE DATA.

TO THE EXTENT THAT ANY WARRANTY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, SEAMLESS.AI LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE MINIMUM PERIOD AND REMEDIES PERMITTED UNDER LAW.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEAMLESS.AI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO DEVELOPER OR ANY THIRD PARTY FOR: ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; ANY LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES; ANY COST OF SUBSTITUTE GOODS OR SERVICES, INTERRUPTION OF BUSINESS, OR PROCUREMENT OF SUBSTITUTE SERVICES; OR ANY LOSS OR DAMAGE ARISING FROM OR RELATING TO SECURITY BREACHES, SYSTEM FAILURES, DELAYS, INTERRUPTIONS, LOSS OF DATA, ERRORS, OMISSIONS, INACCURACIES, OR UNAVAILABILITY OF THE API; WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SEAMLESS.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SEAMLESS.AI’S TOTAL, CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE API, OR DEVELOPER’S USE THEREOF, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SEAMLESS.AI UNDER THIS AGREEMENT IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

You shall indemnify, defend, and hold harmless Seamless.AI, its affiliates, and their respective officers, directors, employees, contractors, agents, successors, and assigns (collectively, the “Seamless.AI Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, fines, penalties, settlements, judgments, costs, and expenses (including reasonable attorneys’ fees and court costs) (“Claims”) arising out of or relating to:

  1. Your access to or use of the API, Data, or Documentation, including any use in violation of this Agreement;
  2. Your Applications or Services that utilize or incorporate the API or Data;
  3. Your violation of applicable laws, regulations, or third-party rights, including without limitation intellectual property, data protection, or privacy rights;
  4. Any breach by You of Your representations, warranties, or obligations under this Agreement;
  5. Any unauthorized access to or misuse of the API or Data through Your systems or credentials, whether or not caused by Your negligence or misconduct.

Seamless.AI shall notify You in writing of any Claim for which indemnification is sought (provided that failure to provide timely notice shall not relieve You of Your obligations except to the extent You are materially prejudiced thereby). You may not settle any Claim without the prior written consent of Seamless.AI.

16. Governing Law; Dispute Resolution; Arbitration and Class Action Waiver

This Agreement is governed by the laws of the State of Ohio, excluding its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, the API, or Your use of Seamless.AI’s services (each a “Dispute”), including without limitation the interpretation, breach, termination, or validity thereof, shall be resolved exclusively by final, binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) then in effect.

YOU AGREE THAT ANY DISPUTE SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER CONSOLIDATED PROCEEDING AGAINST SEAMLESS.AI.

Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information; and/or enforcement of an arbitration award or defense against arbitration in the state or federal courts located in Delaware.

17. Export Restrictions

You may not use or export the API or data in violation of U.S. export laws or regulations. You represent you are not located in an embargoed country or prohibited party list.
